Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zeymo — the Zeymo cloud ERP platform, its modules, websites, and mobile applications (together, the "Service"), operated by Zeymo ("Zeymo", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

If you do not agree to these Terms, do not use the Service.

1. The Service

Zeymo provides a subscription-based, cloud-native enterprise resource planning platform for manufacturers, wholesalers, distributors, and retailers, together with optional modules (such as Inventory, Manufacturing, Accounting, HR, Fleet, and others) and companion mobile applications. The features available to you depend on the plan and modules you subscribe to.

We may add, change, or remove features over time. Where a change materially reduces the core functionality of a paid plan, we will use reasonable efforts to notify you in advance.

2. Accounts and access

To use most of the Service you must register for an account. You agree to:

  • provide accurate, current, and complete information;
  • keep your account credentials confidential and not share them; and
  • be responsible for all activity that occurs under your account.

You must notify us promptly of any unauthorised use of your account. You are responsible for the acts and omissions of your users and for ensuring they comply with these Terms.

3. Acceptable use

You agree not to, and not to permit any user to:

  • use the Service in violation of any applicable law or regulation;
  • upload or transmit malicious code, or attempt to gain unauthorised access to the Service or its related systems;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • resell, sublicense, or make the Service available to any third party except as expressly permitted; or
  • use the Service to store or transmit content that infringes the rights of others.

We may suspend access to protect the Service, our other customers, or third parties where we reasonably believe conduct breaches this section.

4. Subscriptions, fees, and payment

Paid plans are billed in advance on the cycle described at the time of purchase or in your order. Unless stated otherwise, fees are non-refundable except as required by law. You are responsible for any taxes associated with your subscription, other than taxes based on our net income.

We may change our fees on renewal by giving you reasonable prior notice. If you do not agree to a fee change, you may choose not to renew.

5. Customer data

As between you and Zeymo, you own all data you and your users submit to the Service ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

You are responsible for the accuracy and legality of Customer Data and for having the necessary rights to submit it to the Service.

6. Intellectual property

The Service, including all software, and all associated intellectual property rights, is and remains the property of Zeymo and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, and no other rights. Feedback you provide about the Service may be used by us without restriction or obligation to you.

7. Third-party services

The Service may integrate with or link to third-party products and services (for example, mapping, messaging, payment, or app-store providers). We are not responsible for third-party services, and your use of them is governed by their own terms.

8. Availability

We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may perform maintenance and may modify or discontinue parts of the Service.

9. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

11. Term and termination

These Terms apply for as long as you use the Service. You may stop using the Service and cancel your subscription at any time in accordance with your plan. We may suspend or terminate your access if you materially breach these Terms and, where the breach is capable of cure, fail to cure it within a reasonable period after notice. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period after termination, after which we may delete it.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

Zeymo is incorporated in the State of Delaware, United States. These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-laws principles, unless a mandatory law in your jurisdiction provides otherwise.
